PURPOSE AND ACCEPTANCE<\/p>\n
The present general conditions of sale apply to all services performed by Pulp Production, hereinafter referred to as \"Pulp\", for the benefit of its customers. Any order placed with Pulp implies the unreserved acceptance of these general conditions of sale. In case of contradiction between these general conditions of sale and the particular conditions agreed with the customer, the latter will prevail.<\/p>\n
EDITORIAL RESPONSIBILITY<\/p>\n
The client assumes full editorial responsibility for the film once Pulp has accepted and approved it.<\/p>\n
RIGHT TO THE IMAGE<\/p>\n
In the context of the film and its distribution, Pulp can provide the client with the necessary documents for obtaining the image rights of the extras (clients, staff, suppliers). The client undertakes to present these documents in time for signature by the persons concerned and to forward one of the two signed copies to Pulp for its official archives. The client must inform Pulp of any persons who refuse to appear in the film. Pulp shall not be liable for any failure to do so or for any complaints from extras or other persons or for any damage resulting therefrom.<\/p>\n
AUTHOR'S CHANGES - FEE INCREASE<\/p>\n
Any changes or additions to the originally budgeted project, including script, sequence of events, editing, production and post-production, which result in an increase in costs and\/or extension of Pulp's administrative, technical and\/or intellectual services, will be billed to the Client at the hourly rates normally charged by Pulp in equivalent circumstances, unless otherwise expressly stipulated by Pulp. Client will be informed on a regular basis of the budgetary changes implied by such changes.<\/p>\n
CONDITIONS DE PAIEMENT :
\nSauf stipulation contraire, nos factures sont payables au grand comptant et sans escompte, avec r\u00e8glement d\u2019un acompte de 50 % du montant total \u00e0 la signature du bon de commande.
\nL\u2019acompte vers\u00e9 constitue un engagement ferme et d\u00e9finitif du client. En cas d\u2019annulation de la commande par le client, pour quelque raison que ce soit, l\u2019acompte restera acquis \u00e0 titre d\u2019indemnit\u00e9 forfaitaire et ne pourra donner lieu \u00e0 aucun remboursement.<\/p>\n
DELIVERY:
\nUnless otherwise requested, the final project will be sent via a sharing platform such as wetransfer.com<\/p>\n
ADVERTISING<\/p>\n
Unless otherwise stated, Pulp will sign its productions in the credits of the film. The client explicitly agrees to the distribution of excerpts and the mention of productions made on its behalf by Pulp.<\/p>\n
ROYALTIES<\/p>\n
Musical and other sources (not free of rights and\/or made within the framework of the project and specified in the contract as such) intended for the production of the film and its reproduction on files, DVD or any other support and its diffusion by all possible means require the payment of royalties. Unless otherwise stated, these costs are not included in the budget and are to be paid by the client. The same can be said for the reproduction of documents, images, texts, paintings, film extracts, monuments.<\/p>\n
INSURANCE<\/p>\n
Pulp and its staff are insured during its filming and other activities on the client's premises. If the client feels that these coverages are insufficient, they must take out additional insurance with their own company at the appropriate time.<\/p>\n
INTELLECTUAL PROPERTY<\/p>\n
Unless otherwise agreed
\nThe client acknowledges and guarantees that all information, documents, elements, contents or works (including graphic, visual, sound, cinematographic or other elements) provided to Pulp Production within the framework of the realization of the film are the property of Pulp Production. The client acknowledges and guarantees that all information, documents, elements, contents or works (including graphic, visual, sound, cinematographic or other elements) provided to Pulp Production within the framework of the realization of the film are the exclusive property of the client or that he has obtained all the necessary rights, licenses, authorizations or approvals to use, exploit and reproduce them in a licit way.<\/p>\n
CONFIDENTIALITY<\/p>\n
The parties undertake to treat as confidential all information and documents, of whatever nature, relating to the business, customers, technologies, know-how, techniques, working methods, projects and operations of the other party. They undertake not to disclose such information and documents to third parties, except with the prior written consent of the other party. This obligation of confidentiality shall survive the termination of the contract.<\/p>\n
JURISDICTION<\/p>\n
